General Terms of Use

1. Purpose

Durable Energie SAS, a company with a share capital of €1,000 and registered under number 929 334 241, whose registered office is located at 45 rue Alexis de Villeneuve, 97400 Saint Denis, Réunion, publishes a short-distance carpooling platform accessible as a mobile application. This platform aims to connect drivers traveling to a specific destination for their own purposes with passengers traveling in the same direction. The objective is to enable the sharing of the journey and the associated costs. By clicking the "Next" button, you acknowledge that you have read and accepted all of these terms and conditions of use.

2. Definitions

Alerts: Notifications configured by the Passenger for rides. • Terms of Service: General Terms and Conditions of Use. • Account: Required to access certain services. • Payment Account: Manages and stores funds. • Driver: Offers a ride. • Booking Request: A ride request from a Passenger. • Member: A person with an Account. • Notification: An alert sent by the application. • Passenger: Shares a ride with a Driver. • Cost Sharing: Fees paid by the Passenger. • Seat: Reserved position in the vehicle. • Platform: The Covoitile mobile application. • Public Profile: Information shared with other Members. • Booking: Acceptance of a ride request. • Services: Services provided by Covoitile. • Balance: Funds available in the Payment Account. • Driver Trip: A trip posted by a Driver. • Transaction: Financial operations. • Carpooling: SAS Durable Énergie, based in Réunion.

3. Application registration conditions

Access to the Platform is restricted to individuals aged 18 and over. Registration by minors is prohibited. By registering, you certify that you are 18 years of age or older.

4. Account Creation

The platform connects drivers and passengers to share travel costs. To access it, you must create an account, accept the Terms of Service and Privacy Policy, and provide accurate and up-to-date information. The account is personal, and you are responsible for it, except in cases of reported fraud. Having multiple accounts is prohibited. Covoitile may request identification or verify information to enhance security and prevent fraud.

5. Verification

To ensure transparency, build trust, and prevent fraud, Covoitile may verify certain information in your profile, such as your email address.

6. Use of the Services

As a Driver on the Platform, you must: • Hold a valid driver's license in France. • Offer Rides with a vehicle you own or are authorized to use. • Be the primary driver of the vehicle for the Ride. • Have valid third-party liability insurance. • Not have any medical contraindications to driving. • Use a four-wheeled passenger vehicle with a maximum of seven seats, equipped with seat belts for each seat. • Ensure the vehicle is in good working order, compliant with regulations, and has a current vehicle inspection certificate. In the event of an incident, you are responsible for the Passengers, and your insurance covers them as if they were members of your family. Covoitile may remove any Ride that does not comply with the Terms of Service or that damages the Platform's image. As a Passenger, you can create Alerts to track Rides. To book a ride, you must have sufficient funds in your account, and bookings are non-transferable and for individuals. Posting a ride for another driver is prohibited. Covoitile reserves the right to withdraw earnings in the event of fraudulent use of the "Reward" feature, such as manipulating the application or misusing multiple accounts. Penalties, such as account suspension, may be applied.

7. Programme de Parrainage

The Referral Program allows users to invite others to join Vialy using a referral code during registration. For a bank transfer to a personal account, you must provide your IBAN, identification information, and verify your balance. Funds are credited within 3 to 11 business days. Users must comply with the law, not seek financial gain, provide accurate information, avoid inappropriate content, respect Covoitile's rights, not create multiple accounts, and adhere to the Terms of Service and Privacy Policy. As a Driver, you must: • Obey traffic laws and have adequate insurance. • Drive carefully and offer genuine rides. • Respect agreed-upon schedules and vehicle capacity. • Maintain the vehicle and provide the required documentation. • Inform others of any changes and plan ahead for cross-border trips. • Use only your own vehicle, be reachable, and not seek any profit. • Confirm your fitness to drive and behave responsibly. As a Passenger, you must: • Be respectful and take care of the vehicle. • Notify us of any unforeseen circumstances, pay the contribution to expenses, and be punctual. • Activate Trip Mode, provide identification if required, and not carry any prohibited items. • Plan ahead for cross-border trips and be reachable by phone.

8. Proof of carpooling

Proof of carpooling is used to validate the User's eligibility for Co-financing. This feature allows the Passenger to reduce their contribution to costs without reducing the Driver's compensation, as the difference is covered by a third-party funder (private, public, or Covoitile in the case of promotions). Covoitile may modify or discontinue these initiatives at any time without prior notice.

9. Account suspension, access restriction, and termination

You can cancel your contract with Vialy at any time, free of charge and without justification, by deleting your account from your profile or by contacting Covoitile via the application form. For security reasons, fraud prevention, or in the event of commercial use of the services, Covoitile may remove content, restrict access, or suspend an account temporarily or permanently. In the event of suspicious amounts in your payment account, Covoitile may recover them and refund them after investigation. You will be notified of these actions and will be able to provide explanations so that Covoitile can decide whether or not to maintain them.

10. Personal Data

By using the Platform, you consent to the collection and processing of your personal data by Covoitile in accordance with applicable law and the provisions of its Privacy Policy.

11. Content published by Vialy

Covoitile owns all intellectual property rights to the Platform, its content, software, and databases, except for user-generated content. You are granted a personal, non-commercial license limited to the purposes of the Services. Any reproduction, modification, distribution, or exploitation of the Platform or its content without Covoitile's written consent is prohibited. This includes decompilation, extraction of significant data, or the use of unauthorized data collection tools.

12. Role of our Vialy application

The Platform is an online interface that connects Drivers and Passengers. Each Member is responsible for posting Rides, Booking Requests, or Carpooling Offers, and for deciding whether to share the costs with other Members. By accepting the Terms of Service, you acknowledge that Covoitile is not involved in the agreements made between Members for sharing ride costs.

13. The Energy Savings Certificates (CEE) scheme

Energy Savings Certificates (CEE) stem from the 2005 POPE law, amended in 2010 and supplemented by the 2015 Energy Transition for Green Growth Law. This legislation requires energy suppliers to implement incentive programs to reduce their customers' energy consumption. In return, they receive CEEs, issued by the PNCEE (National Energy Savings Certificate Program), certifying the savings achieved.

14. Operation, availability and features of the Platform

Covoitile strives to maintain continuous access to the Platform, but interruptions may occur for technical reasons, such as maintenance or network outages. Covoitile also reserves the right to modify or discontinue access to the Platform, temporarily or permanently, at its sole discretion.

15. Amendment to the Terms and Conditions

Vialy reserves the right to modify these Terms of Use to adapt to technological and regulatory developments. Changes will be announced on the Platform, along with the update date, and you will be notified before they take effect.

16. Tax and social security obligations relating to transactions carried out on the Platform

Users must comply with tax and social security obligations in accordance with the law.
